Your agreement with us.
Sharingu is operated by Ryuk Labs (“Ryuk Labs,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are an agreement between Ryuk Labs and the person or organization using sharingu (“you”). They apply when you visit our website, join a private beta, connect sharingu through a supported plugin or MCP client, or otherwise use a service that links to these Terms.
By using sharingu, you agree to these Terms and our Privacy Notice. If you use sharingu for an organization, you confirm that you have authority to accept these Terms for it. If you do not agree, do not use the service.
You must be at least 13 years old and legally able to enter this agreement. If local law requires a higher age or parental consent, that rule applies.
What sharingu does.
Sharingu helps organizations connect work, sources, evidence, goals and human decisions so that people and their chosen AI tools can reuse shared context. Agent R connects, grades and guides; people remain responsible for decisions.
Sharingu is currently offered as a private beta. Features, supported clients, integrations, limits and availability may change. Public examples are fictional demonstrations, not promises that every capability is available in every workspace.
We may improve, limit, suspend or discontinue all or part of the service. When reasonably possible, we will give notice of a material change that significantly reduces a paid or actively supported service.
Accounts, access and security.
You are responsible for the accuracy of information you provide, activity under your access, and keeping account credentials, personal keys and connection details confidential. Do not share credentials or place them in prompts, contributions or support messages.
Organization administrators may manage access, projects and content within their workspace. If your organization provides your access, its administrators may control that account and the associated organization content. You must follow their policies as well as these Terms.
Tell us promptly through Support if you believe access has been compromised or the service is being misused.
Fees and payment.
Access may be offered without charge during part of the private beta or under a separate order form or written agreement. If a fee applies, we will disclose the amount, currency, billing schedule, taxes, renewal and cancellation terms before your organization agrees to pay. Sharingu does not sell subscriptions or digital credits inside the plugin.
Use sharingu responsibly.
You may use sharingu only for lawful purposes and in line with these Terms, the documentation, and the rules of any connected service. You must not:
- break the law, infringe another person’s rights, or submit content you do not have permission to use;
- upload malware, exploit vulnerabilities, bypass access controls, probe other workspaces, or interfere with the service;
- seek another person’s credentials, payment-card data, government identifiers, protected health information, or other restricted data through the plugin;
- misrepresent generated material as verified fact, impersonate another person, or use the service for fraud, harassment or harmful activity;
- scrape, resell or reverse engineer the service except where the law expressly allows it; or
- use sharingu in a way that violates the applicable policies of OpenAI, an MCP client, or another connected provider.
We may investigate suspected misuse and restrict access when reasonably necessary to protect people, organizations or the service.
Your content stays yours.
You retain ownership of the prompts, contributions, files, references and other material you submit (“Your Content”). You give us a limited, non-exclusive right to host, process, transmit and display Your Content only as needed to operate, secure, support and improve the service, comply with law, and follow your instructions.
You confirm that you have the rights and permissions needed for Your Content and its processing. Do not submit information that your organization or the law prohibits you from sharing.
We and our licensors retain all rights in sharingu, including its software, design, documentation, name and branding. Feedback is voluntary; if you provide it, you allow us to use it without restriction or payment.
AI can assist. People decide.
Sharingu may organize, summarize, grade or suggest context with automated systems. Automated results can be incomplete, outdated or wrong. Review important sources and outputs before relying on them.
Sharingu is not a substitute for professional legal, medical, financial, employment or safety advice. You are responsible for your decisions, actions and compliance obligations. Do not use automated output as the sole basis for a high-impact decision about a person.
Connected services have their own terms.
Sharingu may work through ChatGPT, Codex, compatible MCP clients, hosting providers and other services you choose to connect. Those services are provided by third parties under their own terms and privacy policies. We do not control their availability or independent processing.
Sharingu is not made by, sponsored by or endorsed by OpenAI. “OpenAI,” “ChatGPT” and “Codex” belong to their respective owners.
You can stop. We can suspend misuse.
You may stop using sharingu at any time and may ask us to close beta access or remove information as described in the Privacy Notice. An organization administrator may also remove access to its workspace.
We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay an agreed fee, or if we discontinue the service. Where appropriate, we will provide notice and a chance to remedy the issue. Sections that by their nature should survive—such as ownership, disclaimers and limits of liability—continue after termination.
Disclaimers and limits.
To the fullest extent permitted by law, sharingu and its beta features are provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, preservation of every item, or that output will be accurate or fit for a particular purpose. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
To the fullest extent permitted by law, Ryuk Labs and its team will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, revenue, data, goodwill or business opportunity. Our total liability arising from the service will not exceed the greater of the amount you paid us for the service during the 12 months before the event giving rise to the claim or US$100. These limits do not apply where the law does not allow them.
You will be responsible for third-party claims resulting from Your Content, your unlawful use of the service, or your material breach of these Terms, to the extent permitted by law. We will give you prompt notice and reasonable cooperation.
Disputes and applicable law
Please contact us first so we can try to resolve a concern informally. Any order form or written agreement between your organization and Ryuk Labs controls if it conflicts with these Terms. Otherwise, governing law and the forum for a dispute are determined by applicable law.
Changes and general terms
We may update these Terms. We will change the effective date and, for material changes, provide reasonable notice through the service or contact details we have. Continued use after the new terms take effect means you accept them.
If a provision is unenforceable, the rest remains effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, financing, merger, sale or transfer of the service. These Terms and any applicable written agreement are the complete agreement about your use of sharingu.
